General Terms

1. Acceptance of Terms
   • By accessing our Site or engaging our Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not use our Site or Services.
2. Changes to Terms
   • We reserve the right to modify these Terms at any time. Any changes will be posted on this page, and it is your responsibility to review these Terms periodically. Your continued use of the Site or Services after any changes constitutes your acceptance of the new Terms.

Services

1. Service Agreement
   • A detailed proposal and service agreement will be provided for each Project. This agreement must be signed by the Client before work begins.
2. Fees and Payment
   • The Client agrees to pay the fees outlined in the service agreement. Payment terms will be specified in the agreement and may include upfront deposits, milestone payments, or full payment upon completion.
   • Invoices are due within 14 days of receipt unless otherwise stated. Late payments may incur interest charges.
3. Project Timelines
   • We will endeavor to meet agreed timelines for Project completion. However, delays may occur due to unforeseen circumstances, and we shall not be liable for such delays.
4. Client Responsibilities
   • The Client agrees to provide all necessary information, materials, and approvals required for the Project in a timely manner. Delays in providing these may impact Project timelines and costs.
5. Revisions and Changes
   • The Client is entitled to a specified number of revisions as outlined in the service agreement. Additional revisions may incur additional charges.

Intellectual Property

1. Ownership
   • Upon full payment, the Client will own the rights to the final deliverables of the Project. We retain the right to use any work created for promotional purposes unless otherwise agreed upon.
2. Use of Third-Party Materials
   • Any third-party materials used in the Project will be subject to the applicable third-party licenses. The Client agrees to adhere to these licenses.

Termination

1. Termination: Either party may terminate this Agreement upon 30 days written notice to the other party. In the event of termination, the Client agrees to pay for all work completed up to the date of termination.
2. Termination for Non-Payment: The Agency reserves the right to terminate this Agreement immediately upon written notice if the Client fails to make any payment when due. In the event of such termination, the Client shall remain liable for all payments due for work completed up to the date of termination.
3. Termination for Inactivity: If the Client fails to provide necessary feedback, information, or approval for a period exceeding 30 days, the Agency may terminate this Agreement upon written notice. The Client agrees to pay for all work completed up to the date of termination.
4. Termination for Delays: If the Project is delayed beyond 30 days due to Client’s actions or inactions, the Agency may terminate this Agreement upon written notice. The Client agrees to pay for all work completed up to the date of termination, including any costs incurred due to the delay.

Limitation of Liability

1. No Warranty
   • Our Services are provided “as is” without any warranties, express or implied. We do not guarantee that the Services will meet your requirements or be uninterrupted, timely, or error-free.
2. Limitation of Liability
   • To the maximum extent permitted by law, tinyBox Creative Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of the Site or Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein.

Disclosure of Referral Fees

To give our clients the best possible experience, we may refer to reputable third party providers such as PPC and SEO professionals. Our clients are under no obligation to use these services and we recommend you should consider your options before accepting any third party’s terms and conditions. tinyBox may receive referral fees from these third party service providers. These received fees range from around 10-15% of the fee you pay to the third party and is not at any additional cost to you. All recommended third parties are pre-vetted and trusted to ensure a quality service.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the UK, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the UK.

Force Majeure

Neither Party shall be liable for any delay or failure to perform its obligations under any Agreement if such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, war, civil unrest, strikes, or natural disasters.
